Agreement
These terms are an agreement between Params Solution (Pty) Ltd ("Adilm", "we", "us") and you. They govern your use of adilm.ai, the Adilm app and our related services (the "Service"). By creating an account or using the Service you accept them.
If you use the Service on behalf of an organisation, you accept these terms for that organisation and confirm that you are authorised to do so; "you" then includes the organisation. If a separate written agreement with us covers your use, that agreement takes precedence where it differs.
The Service
Adilm provides role-based AI employees that draft, prepare and organise work — such as emails, proposals, invoices, social posts and customer replies — and carry out actions once a person in your workspace confirms them. Some features depend on services you choose to connect.
We are improving the Service continually. We may add, change or remove features, and some features may be labelled as early or preview.
Accounts and workspaces
You must give accurate information when you register, keep your sign-in details secure, and tell us promptly at the address below if you believe your account has been compromised. You are responsible for activity under your account.
Workspace administrators control who belongs to a workspace, their roles, and which services are connected. You must be at least 18 to use the Service.
Your content
You keep ownership of everything you and your colleagues put into the Service, and of the outputs created for you ("Your Content"). You give us a licence to host, copy, process and transmit Your Content only as needed to provide, secure and support the Service for you.
You are responsible for Your Content and for having the right to use it. Where it includes personal information about other people — such as your customers — you are responsible for having a lawful basis under POPIA and any other applicable law, and for giving them any notices the law requires.
AI output and confirmation
Output from Adilm's AI employees is generated automatically and can be inaccurate, incomplete or unsuitable for your purpose. Review it before you rely on it or confirm an action. Confirming an action — sending a message, publishing a post, issuing an invoice — is your decision, and you are responsible for it.
Adilm does not provide legal, tax, accounting, financial or other professional advice. Have a qualified professional review anything that needs one.
Connected services, WhatsApp and phone numbers
When you connect a third-party service — such as Google, Microsoft, Meta or Framer — your use of it is also governed by that provider's terms, and we are not responsible for the provider's services.
If you connect WhatsApp, you must comply with Meta's WhatsApp Business terms and policies, including only messaging people who have agreed to hear from you and honouring requests to stop. WhatsApp messaging is delivered through Twilio.
Phone numbers bought through Adilm are provided by Twilio, are subject to Twilio's terms, and are charged monthly until released. Availability and pricing are set by the provider and may change.
Acceptable use
You must not use the Service to break the law or infringe anyone's rights; to send spam or unsolicited messages; to harass, defraud or mislead people; to upload malware; to access another workspace's data or get around security or usage limits; or to copy, reverse engineer or resell the Service, or use it to build a competing product.
We may suspend access that breaches this section or puts the Service or other users at risk.
Fees
Fees for the Service are as agreed in your order or shown when you buy. Unless stated otherwise, fees exclude VAT and other taxes, which you will pay as applicable. Usage-based charges, such as phone numbers and messaging, are billed as they are incurred.
If fees are unpaid when due, we may suspend paid features after giving you notice.
Privacy and data protection
Our Privacy Policy explains how we handle personal information. For personal information in Your Content, we act as your operator under POPIA: we process it only on your instructions and to provide the Service, keep it secure and confidential, and tell you of any security compromise affecting it.
Our intellectual property
The Service, including its software, design and the Adilm name and marks, belongs to us and our licensors. These terms give you a right to use the Service while they apply, not ownership of it. If you send us feedback, we may use it freely.
Suspension and termination
You may stop using the Service at any time. We may suspend or end your access if you materially breach these terms and do not fix the breach after notice, or immediately where the law requires it or to prevent serious harm.
Before your access ends, workspace administrators can export the workspace's data. After termination we delete Your Content within a reasonable time, as described in our Privacy Policy.
Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, including that it will be uninterrupted, error-free or fit for a particular purpose.
Nothing in these terms excludes rights you have under the Consumer Protection Act, 2008 or other law that cannot lawfully be excluded.
Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability arising from the Service in any 12 months is limited to the fees you paid us for the Service in those 12 months.
These limits do not apply to liability that cannot be limited by law, including for fraud or gross negligence.
Indemnity
You will indemnify us against third-party claims arising from Your Content, from actions you confirm through the Service, or from your breach of these terms or of the law.
Governing law
These terms are governed by the laws of the Republic of South Africa, and the courts of the Republic of South Africa have jurisdiction over any dispute arising from them.
Changes to these terms
We may update these terms. We will give workspace administrators reasonable notice of material changes before they take effect. If you continue to use the Service after that, the updated terms apply.
